Agreement to these terms
These Terms of Service ("Terms") form a binding agreement between you and Besticoder, sole proprietor operating the Vmoox platform ("we", "us", or "our"), governing your access to and use of the Vmoox software-as-a-service platform, websites at vmoox.com and app.vmoox.com, APIs, and related services (collectively, the "Service").
By creating an account, clicking to accept, or using the Service, you agree to these Terms, our Privacy Policy, Acceptable Use Policy, Terms of Sale, Refund Policy, and any policies referenced herein. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
Eligibility and global availability
The Service is offered internationally as global software. You may use the Service only if you can form a binding contract with Besticoder and are not barred from doing so under applicable law.
You are solely responsible for ensuring that your access to and use of the Service complies with all laws, regulations, sanctions, export controls, and industry rules applicable in your jurisdiction and to your business activities. We may restrict access in certain countries or to certain users where required by law or where continued provision would create unacceptable legal or security risk.
Description of the Service
Vmoox provides online workspace software, including collaboration tools, records, automations, integrations, and related features that may change over time. We may add, modify, suspend, or discontinue features with reasonable notice where practicable.
The Service is provided on a commercially reasonable efforts basis. We do not guarantee uninterrupted availability, error-free operation, compatibility with every device or browser, or fitness for any particular purpose, except to the extent expressly required by mandatory applicable law.
Accounts, credentials, and workspace administration
You must provide accurate registration information and keep it current. You are responsible for maintaining the confidentiality of credentials and for all activity occurring under your account and workspaces you administer.
You are responsible for configuring workspace membership, roles, permissions, and access controls. Vmoox is not responsible for unauthorized access caused by shared credentials, weak passwords, excessive privileges, failure to remove former users, or misconfiguration of workspace settings.
Your responsibilities for data, compliance, and backups
You retain control over and responsibility for data, content, and configurations you submit to the Service. You are solely responsible for data security practices within your organization, lawful processing of personal data, regulatory compliance (including GDPR, HIPAA, financial, telecommunications, and marketing rules where applicable), retention policies, and maintaining independent backups of data you cannot afford to lose.
Vmoox provides software tools only. We do not provide legal, compliance, accounting, or professional advisory services, and nothing in the Service or documentation should be interpreted as such.
Acceptable use
You must use the Service in accordance with our Acceptable Use Policy and all applicable laws. Prohibited conduct includes illegal activity, malware distribution, unauthorized access, abusive messaging, infringement of third-party rights, and violations of third-party platform terms.
We may investigate suspected violations and suspend or terminate access, remove content, or take other action to protect the Service, users, and third parties. You agree to cooperate with reasonable security and abuse investigations.
Third-party services and integrations
The Service may interoperate with third-party products and APIs, including messaging platforms such as WhatsApp. Third-party services are not controlled by Vmoox and may change, limit, block, or terminate access at any time.
Your use of integrations is at your own risk. Vmoox is not liable for outages, policy enforcement actions, account bans, message delivery failures, data loss, or other consequences arising from third-party services, your configuration of those services, or your failure to comply with third-party terms.
Intellectual property and content license
Vmoox and its licensors own all rights, title, and interest in the Service, including software, branding, documentation, and underlying technology. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
You retain ownership of content you submit. You grant Vmoox a worldwide, non-exclusive license to host, store, reproduce, process, transmit, and display your content solely as necessary to provide, secure, and improve the Service and as otherwise permitted by your settings and applicable law.
Fees and payment terms
Paid features are governed by our Terms of Sale and Refund Policy, which are incorporated into these Terms. Unless required by mandatory law, payments are final and non-refundable once processed, subject to the limited exceptions stated in our Refund Policy.
You are responsible for all applicable taxes, duties, and governmental charges associated with your subscription, except for taxes based on Vmoox's net income.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT.
Without limiting the foregoing, Vmoox does not warrant that the Service will be uninterrupted, secure, or free from errors, defects, viruses, or harmful components; that data will not be lost or corrupted; that integrations will continue to function; or that user-generated content is accurate or lawful.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VMOOX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VMOOX'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO VMOOX FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). THESE LIMITATIONS APPLY TO ALL THEORIES OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, AND OTHERWISE.
Indemnification
You will defend, indemnify, and hold harmless Vmoox and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your content, your use of the Service, your violation of these Terms or applicable law, or your use of third-party integrations and messaging channels.
We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claims.
Suspension and termination
You may stop using the Service at any time. We may suspend or terminate your access immediately if you breach these Terms, create security or legal risk, fail to pay fees when due, or where required by law.
Upon termination, your right to access the Service ceases. You are responsible for exporting data before termination where possible. Provisions that by their nature should survive termination will survive, including payment obligations, disclaimers, limitations of liability, indemnity, and governing law.
Governing law, disputes, and export compliance
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles, except where mandatory consumer protection or other non-waivable laws in your country of residence require otherwise. In such cases, those mandatory rights prevail to the extent required.
Except where prohibited by mandatory law, courts located in Israel shall have exclusive jurisdiction over disputes arising from these Terms or the Service. You represent that you are not located in, under the control of, or a national or resident of any country subject to comprehensive sanctions and that you will not use the Service in violation of export control or sanctions laws.
